Terms and Conditions of Sale and Use

These Terms and Conditions (“Terms”) govern the sale, licensing, and use of a physical electronic product, including any embedded firmware and related documentation (“Product”), sold through this website (“Website”) by Navi-Pro, a company organized under the laws of Canada (“we,” “us,” or “our”).

By purchasing, accessing, or using the Product, you agree to be bound by these Terms.

1. Product and Intended Use

The Product is a single physical electronic device that includes a single copy of embedded firmware installed on the device by us and a single copy of the operation manual printed by us.

The Product does not include uncompiled software, designs, schematics, bills of materials and associated intellectual property.

Products are intended solely for their documented and specified use. You are responsible for determining whether a Product is suitable for your intended application and environment.

We do not warrant suitability for any specific purpose unless expressly stated in writing.

2. Orders and Acceptance

All orders are subject to acceptance by us. We reserve the right to refuse, cancel, or limit any order at our discretion, including due to availability, pricing errors, export restrictions, or suspected misuse.

An order confirmation does not constitute acceptance until the Product has shipped.

3. Pricing, Currency, and Payment

Prices are listed in Canadian Dollars unless otherwise stated and may change without notice.

Taxes, duties, customs fees, brokerage charges, and shipping costs are the responsibility of the purchaser unless explicitly included.

Payment must be received in full prior to shipment.

4. Shipping, Export, and International Delivery

Products are shipped from Canada to destinations worldwide, subject to applicable export controls and trade regulations.

You are responsible for:

Import compliance in the destination country

Customs clearance, duties, taxes, and local regulatory requirements

Risk of loss transfers to you once the Product is delivered to the carrier, unless otherwise required by applicable law.

5. Product and Firmware License; Restrictions

The Product includes a single physical electronic device that includes a single copy of embedded firmware installed on the device by us and a single copy of the operation manual printed by us (collectively, the “Product Technology”).

The Product and/or the Product Technology does not include uncompiled software, operation procedures, designs, schematics, bills of materials, operation manual and associated intellectual property.

Except for the physical medium in which the Product is embodied, the Product Technology is licensed, not sold.

We grant you a non-exclusive, non-transferable, revocable license to use the Product solely for its intended purpose and in accordance with provided documentation.

You may not, directly or indirectly:

Copy, modify, or create derivative works of the Product or Product Technology

Reverse engineer, decompile, or disassemble the Product or any part thereof

Circumvent, bypass, or disable security, safety, or protection features

Tamper with, alter, or remove hardware, firmware, labels, identifiers, or safeguards

Use the Product outside stated specifications or intended operating conditions

All rights not expressly granted are reserved by Navi-Pro.

6. Firmware Updates and Modifications

We may, but are not obligated to, provide firmware updates or modifications.

Updates may change functionality, features, or performance. We are not responsible for issues arising from:

Failure to install updates

Unauthorized modifications

Use of third-party software or hardware

7. Returns, Refunds, and Cancellations

Returns and refunds are governed by a 30 day return policy, which forms part of these Terms.

Unless otherwise stated:

Products must be returned unused and in original condition

Shipping and customs costs are non-refundable

Modified, customized, or firmware-altered Products may not be eligible for return

8. Warranties and Disclaimers

Except where prohibited by law, Products are provided “as is” and “as available.”

To the maximum extent permitted by law, we disclaim all express and implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Some jurisdictions, including certain Canadian provinces, provide mandatory consumer rights that cannot be excluded. In such cases, warranties are limited to the minimum extent required by law.

9. Limitation of Liability

To the fullest extent permitted by law:

We shall not be liable for indirect, incidental, special, or consequential damages

We shall not be liable for loss of profits, data, business interruption, or system failure

Our total liability shall not exceed the amount paid for the Product giving rise to the claim

This limitation applies regardless of the legal theory asserted.

10. User Responsibility, Integration, and Safety

You acknowledge that electronic Products may pose risks if improperly installed, configured, integrated, or operated.

You are responsible for:

Obtaining insurance protection for all possible outcomes.

Following all instructions, warnings, and specifications

Ensuring appropriate safeguards, redundancy, and monitoring

Determining suitability for system-level integration

Unauthorized modification, tampering, or circumvention of Product safeguards voids any warranty, support, and liability obligations.

11. No Safety-Critical or Life-Critical Use

The Products are not designed, manufactured, tested, certified, or intended for use in safety-critical, life-critical, or mission-critical applications where failure could result in injury, death, property damage, or environmental harm.

Prohibited uses include, but are not limited to:

Medical or life-support systems

Nuclear facilities or safety systems

Aviation, aerospace, or vehicle control systems

Railway, maritime, traffic, or emergency response systems

Weapons or military applications

Any such use is strictly at your own risk and constitutes misuse.

12. Regulatory Compliance and Certifications

The Products may comply with certain regulatory requirements (such as CE, FCC, ISED/IC) as stated in documentation or labeling.

You are responsible for verifying compliance in your jurisdiction and for maintaining compliance after modification or system integration.

13. Export and Sanctions Compliance

You agree to comply with all applicable Canadian, United States, and international export control and sanctions laws.

Products may not be exported, re-exported, or transferred to restricted destinations or prohibited parties.

14. Intellectual Property

All Website content, Product designs, firmware, documentation, trademarks, and trade names are the property of Navi-Pro or its licensors and may not be used without prior written consent.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You agree to submit to the exclusive jurisdiction of the courts located in Alberta, Canada.

16. Changes to Terms

We may update these Terms at any time. Changes take effect upon posting to the Website. Continued purchase or use of the Products constitutes acceptance of the revised Terms.
